This European sourcing company has two decades’ history in Hong Kong, which has been the base of their regional headquarters overseeing eight sourcing offices in Asia. The regional office has an opening for:
Corporate Secretarial/Legal Manager
Responsibilities:
•Provides full range of corporate secretarial support and services to the HK and Asia offices in compliance with statutory and regulatory requirements of the Group in Asia
•Maintains and updates statutory records and proper filings
•Assists in organising and facilitating meetings of directors and general meetings of shareholders
•Prepares statutory documents to directors and shareholders, including agenda and minutes of meetings, in compliance with the Companies Ordinance
•Liaises / co-ordinates with other professional advisors and governmental bodies as and when required
•Assists in the incorporation / deregistration of companies and bank account opening in Asia
•Assists in reviewing and negotiating commercial contracts, agreements and other legal documentation. Provides value-added comments and recommendations to Management / Operations to support their business decisions.
•Identifies potential legal issues in any business contract and contemplated transactions
•Co-ordinates with the European counterpart on cross border legal matters
•Performs other projects or tasks as required from time to time
Requirements:
•Degree holder and a qualified member of ICSA/HKICS
•At least 8 years of relevant experience in company secretarial roles, preferably with experience in doing legal research and commercial contracts review/drafting
•Good knowledge in Companies Ordinance and regulatory requirements in various jurisdictions in Asia
•Mature, proactive, detail-minded and well-organised, able to work independently under pressure and meet tight deadlines
•Passion for providing service of exceptional quality to exceed customers’ expectations
•Excellent communication and negotiation skills
•Good command of both spoken and written English and Chinese, including Putonghua
